The Business Department works closely with clients to first choose the most appropriate type of business entity for the client's project or business, taking into consideration such business factors as ease of formation, management and control, owner liability and business succession planning, as well as relevant tax issues.

The Business Department coordinates with each client, the client's CPA and the client's other financial advisors to properly form and capitalize the selected business entity on a "tax free" basis; with a view toward the maximum liability protection available for the chosen entity. We continue to work with the client and their financial advisory team after formation in order to maintain the legal status of the chosen entity and to ensure that the entity remains compliant with all federal and state civil laws as well as all federal and state tax laws. In addition to meeting annually with all corporate clients to review their fiscal year end tax and business planning, we are available to consult with the client concerning any proposed business transaction, whether it be a sale, a merger, an acquisition, reorganization or recapitalization. The Business Department has an excellent reputation for prompt and accurate documentation of all such business transactions and consistently endeavors to ensure that the business entity records accurately reflect all business and tax transactions and are compliant with all federal and state laws and regulations.
